“负面清单管理模式”是指政府规定哪些经济领域不开放，除了清单上的禁区，其他行业、领域和经济活动都许可。凡是与外资的国民待遇、最惠国待遇不符的管理措施，或业绩要求、高管要求等方面的管理措施均以清单方式列明。这是负面清单管理模式在外商投资领域的运用。世界大多数国家均针对外商投资实行负面清单管理模式，少有在国内市场推行市场准入负面清单的尝试。参与负面清单相关课题研究的重庆大学公共管理学院教授陈升说，我国将负面清单管理模式从外资引入内资市场准入领域,是市场准入制度的重大突破。而市场准入负面清单制度，是指国务院以清单方式明确列出在中华人民共和国境内禁止和限制投资经营的行业、领域、业务等，各级政府依法采取相应管理措施的一系列制度安排。市场准入负面清单以外的行业、领域、业务等，各类市场主体皆可依法平等进入。
