限制民事行为能力，是指公民只具有一部分民事行为能力，因而也叫不完全民事行为能力。年满8周岁的未成年人和不能完全辨认自己行为的精神病人，是限制民事行为能力人。这种情况下的民事主体实施行为的范围受到限制，只能亲自实施与自己智力、精神状况相适应的行为，并承担相应的行为后果。超出自己智力、精神状况的行为，应由其法定代理人代理实施。
