代理权终止，亦称“代理权消灭”。因某种法律事实的出现，代理权归于消灭。按照《中华人民共和国民法通则》规定，代理权产生的依据不同，其终止的原因也有所不同。委托代理权终止的情形有：（1） 代理期间届满或者代理事务完成；（2） 被代理人取消委托或者代理人辞去委托；（3） 代理人死亡；（4） 代理人丧失民事行为能力；（5） 作为被代理人或者代理人的法人终止。依照最高人民法院的司法解释，被代理人死亡的，代理也应终止，但被代理人死亡后有下列情形之一的，委托代理人实施的代理行为有效：（1） 代理人不知道被代理人死亡的；（2） 被代理人的继承人均予承认的；（3） 被代理人与代理人约定到代理事项完成时代理权终止的；（4） 在被代理人死亡前已经进行、而在被代理人死亡后为了被代理人的继承人的利益继续完成的。法定代理权或者指定代理权终止的情形有：（1） 被代理人取得或者恢复民事行为能力；（2） 被代理人或者代理人

代理行为
代理行为是代理人所为的行为。即代理人以被代理人名义对第三人进行的具有法律意义的行为。包括民事法律行为、诉讼行为和其他具有法律意义的行为。其他具有法律意义的行为，如代为发生要约，代为接受第三人履行的义务，代为申请企业登记、申请营业执照、申请专利等。但按《中华人民共和国民法通则》第63条第2项规定，代理行为仅指“以被代理人的名义实施民事法律行为”。代理行为应当具有如下要件：（1）必须在代理权限范围内进行；（2）必须以被代理人名义进行：（3）代理人必须具有民事行为能力；（4）必须合法。代理行为的后果由被代理人承担。
