法人章程
法人章程，是指根据法人性质、任务和业务活动需要制定的关于法人的活动范围、组织机构以及内部成员之间的权利义务等问题的书面文件。内容可分为绝对必要记载事项和任意记载事项。前者是指法律规定在章程中必须具备的内容，包括法人名称、住所、宗旨和经营范围、注册资金、投资数额、投资者的姓名和住所、投资者的权利义务、法人的组织机构和解散条件、利润分配和亏损承担、章程的修改程序等。后者则不是由法律规定的不可缺少的事项。章程一经登记就具有法律效力，成为法人的行为准则。章程要经法人主管机关、有些要经国家有关机关审批才能在工商管理部门登记。
